Agent Setup Terms

These Agent Setup Terms ("Setup Terms") govern the one-time purchase of a single AI agent build ("Agent Setup") from Live a Little Enterprises, LLC, a Missouri limited liability company doing business as BeBuilt ("bebuilt," "we," "us") by the individual or entity purchasing it ("Client," "you").

Agent Setup is a one-time engagement, not a subscription. The bebuilt Terms of Service govern bebuilt's subscription service and do not apply to an Agent Setup except for the specific sections incorporated by reference in Section 9 below.

By checking the acceptance box at checkout and paying the Deposit, you agree to these Setup Terms. If you are agreeing on behalf of a company, you represent that you have authority to bind that company.

Business use only. Agent Setup is offered for business and commercial use only. You represent that you are purchasing it in the course of your trade or business and not as a "consumer" within the meaning of any consumer-protection statute.

1. What you get

For the Fee in Section 2, bebuilt will build and deliver one AI agent configured for your business:

1. The agent, deployed on your own private server.
2. A VPS technician agent alongside it, which keeps the server running.
3. Your communication channels connected to the agent.
4. The server hardened — VPN, firewall, and encryption.
5. A live walkthrough of both agents.
6. Priority support through the Onboarding Period defined in Section 3.
7. You own everything — the server, the code, and the keys, as described in Section 5.

The specific scope — which systems the agent touches, whose approval it routes through, and how it fits your way of working — is agreed on the kickoff call described in Section 3 and recorded in bebuilt's written recap of that call. That recap, together with the seven items above, is the scope of the engagement. Work outside it is a new engagement, separately quoted and separately agreed.

2. Fee and payment

The total fee for one Agent Setup is $1,997 USD ("Fee"), collected in two parts:

2.1 Deposit — $400. Due at booking, through bebuilt's checkout. Paying the Deposit is what reserves your kickoff slot and starts the engagement.

2.2 The Deposit is non-refundable. It is fully credited against the Fee, and it is not refundable if you cancel, do not attend the kickoff call, or do not proceed. bebuilt commits capacity on receipt of the Deposit, and the Deposit reflects that commitment, not work performed.

2.3 Balance — $1,597. Charged at the completion of the kickoff call, to the payment method you provide when paying the Deposit. By paying the Deposit you authorize bebuilt to charge that payment method $1,597 at the completion of the kickoff call, without further action by you. Both charges appear as bebuilt.

2.4 If the balance charge does not clear. bebuilt will notify you and may issue an invoice for the outstanding amount, payable on receipt. Delivery begins on cleared payment of the full Fee, and the Onboarding Period in Section 3 starts on that date rather than on the date of the kickoff call. A failed or delayed balance charge delays delivery; it does not reduce the Fee, and it does not make the Deposit refundable.

2.5 Taxes. The Fee is exclusive of any applicable sales, use, or similar taxes, which are your responsibility unless bebuilt is required to collect them.

2.6 No subscription. The Fee is a one-time charge. Nothing recurring is created by an Agent Setup, and no subscription begins unless you separately purchase one.

3. Kickoff, delivery, and the Onboarding Period

3.1 Kickoff call. After the Deposit is paid, you book a kickoff call. On that call bebuilt confirms scope, gathers what it needs to begin, and — where the setup allows — brings your agent live the same day.

3.2 Onboarding Period. The fourteen (14) day period beginning at the completion of the kickoff call (or, where Section 2.4 applies, at cleared payment of the full Fee). Priority support runs through this period. During it, bebuilt tunes the agent against your real work and transfers the deployment onto infrastructure you own, which typically begins between day seven and day fourteen.

3.3 Handover. At the end of the Onboarding Period, bebuilt delivers the server credentials, code, and keys to you. Ownership of the Deliverables passes as described in Section 5.

3.4 What we need from you. Delivery depends on your timely cooperation: access to the systems the agent must reach, a named point of contact who can answer scoping questions and approve decisions, and any credentials or account provisioning bebuilt reasonably requests. Time bebuilt spends waiting on you does not count against the Onboarding Period. If bebuilt is blocked on your side for more than thirty (30) days, bebuilt may close the engagement as delivered, and the Fee remains payable in full.

3.5 Running costs after handover. The server, AI provider usage, and any third-party services the agent depends on are yours after handover, on your accounts and at your cost. The Fee does not include them. bebuilt will tell you what they are before handover.

4. What Agent Setup does not include

• Ongoing management, monitoring, or operation of the agent after the Onboarding Period.
• New features, new workflows, or additional agents.
• Support beyond the Onboarding Period.
• The recurring infrastructure and AI usage costs described in Section 3.5.

Any of these can be purchased separately — as another Agent Setup, or under a bebuilt subscription governed by the Terms of Service.

5. Ownership

5.1 You own the Deliverables. On cleared payment of the full Fee, bebuilt assigns to you all right, title, and interest in the agent configuration, code, and server setup produced for you ("Deliverables"), subject to Section 5.2. You own the server, the code, and the keys.

5.2 bebuilt's pre-existing IP. bebuilt retains ownership of its pre-existing code, libraries, internal tools, agent frameworks, prompts, templates, methodologies, and know-how, and of generally applicable improvements that are not specific to you. To the extent any of it is embedded in a Deliverable, bebuilt grants you a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, and distribute it as part of that Deliverable.

5.3 Third-party components. Deliverables may incorporate open-source or commercially licensed third-party components, which remain governed by their own licenses. bebuilt will identify them on reasonable request.

5.4 Your materials. You keep ownership of everything you give bebuilt. You grant bebuilt a limited license to use it solely to perform the Agent Setup.

5.5 Portfolio rights. Unless you tell us in writing not to, bebuilt may describe the general nature of the work (for example, "built an accounts payable agent for a construction firm") in case studies and marketing, without disclosing your Confidential Information or identifying details unless you separately approve.

6. AI outputs

The agent uses large language models. Its outputs can be wrong, incomplete, or unsuitable, and they are not legal, financial, tax, medical, or professional advice. You are responsible for reviewing the agent's output before relying on it, and for keeping a human in any approval chain where a mistake would be costly. bebuilt does not warrant that the agent will be accurate, uninterrupted, or error-free, and does not guarantee any particular business outcome, cost saving, or hours recovered.

7. Warranties and limitation of liability

7.1 Limited warranty. bebuilt warrants that it will perform the Agent Setup in a professional and workmanlike manner. Except for that warranty, the Agent Setup and the Deliverables are provided "as is," and bebuilt disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7.2 Your remedy. If the delivered agent materially fails to perform the scope agreed under Section 1 and you tell bebuilt in writing during the Onboarding Period, bebuilt will use commercially reasonable efforts to correct it. If bebuilt cannot, bebuilt may refund a portion of the Fee, up to the Balance paid under Section 2.3. That is your sole and exclusive remedy.

7.3 Cap. bebuilt's total aggregate liability arising out of or relating to an Agent Setup will not exceed the Fee actually paid by you. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, even if advised of the possibility. These limits do not apply to a party's fraud, willful misconduct, or gross negligence, or to your obligation to pay the Fee.

8. Term and termination

These Setup Terms run from acceptance until handover under Section 3.3, plus any surviving sections.

8.1 Your cancellation. You may cancel before the kickoff call; the Deposit is not refunded (Section 2.2) and nothing further is charged. Cancelling after the kickoff call does not refund any part of the Fee, because delivery has begun.

8.2 bebuilt's cancellation. bebuilt may decline or discontinue an Agent Setup at any time before handover. If bebuilt does so for any reason other than your breach or your failure to cooperate under Section 3.4, bebuilt will refund all amounts you have paid, including the Deposit.

8.3 Survival. Sections 2 (amounts owed), 5, 6, 7, 9, and 10 survive.

9. Terms incorporated by reference

The following sections of the bebuilt Terms of Service apply to an Agent Setup as if set out here in full, reading "Member" as "Client" and "the Service" as "the Agent Setup":

• §8 Confidentiality — including the AI-training carve-out.
• §9 Acceptable Use — including the sanctions representation.
• §13 Indemnification.
• §16 Governing Law & Disputes — Missouri law, and binding JAMS arbitration with a 30-day opt-out.
• §17 Miscellaneous — including E-SIGN/UETA and the Privacy Policy reference.

No other section of the Terms of Service applies. In particular, the subscription, billing, cancellation, scope, and Add-On Services provisions (§§3, 4, 5, and Schedule A) do not.

10. Entire agreement

These Setup Terms, together with the sections incorporated by Section 9 and bebuilt's written recap of the kickoff call, are the entire agreement for an Agent Setup, and supersede any prior proposal, quote, email, or conversation. Any change must be in writing and agreed by both parties. If any provision is unenforceable, the rest stays in force.
